These terms govern your use of this website and any services or software licences purchased from Onprem2Cloud IT Solutions Co. Engaging our services or placing an order constitutes acceptance of these terms.
Where we issue a quotation, statement of work or separate service agreement, that document sets out the specific scope, deliverables, timelines and commercial terms, and takes precedence over these general terms in the event of any conflict.
We provide IT consulting, cloud migration, managed services, cybersecurity deployment, software licence resale and related services to businesses, educational institutions and government agencies in the Philippines.
Licences we supply are subject to the terms of the originating vendor, including Microsoft, Sophos, Acronis, Avast and others. We act as an authorised reseller; the vendor's end-user licence agreement governs your use of their software, and we are not a party to that agreement.
Licence subscriptions are provisioned against a term and seat count agreed at the point of order. Changes to seat counts within a term are subject to the vendor's rules for that product.
Prices are quoted in Philippine pesos. Unless stated otherwise, quoted prices are exclusive of value-added tax. Official receipts are issued for all payments received.
Payment terms are set out in the applicable quotation or invoice. We may suspend provisioning or service delivery where an account remains unpaid beyond the agreed terms, having first given notice.
Software licences are generally non-refundable once provisioned, as the licence has been issued by the vendor and cannot be returned. Where a vendor permits cancellation within a stated window, we will pass that benefit on to you.
Cancellation terms for service engagements are set out in the applicable statement of work. Work already performed remains payable.
Delays or additional costs arising from these matters are not our responsibility, and may affect agreed timelines.
Each party will keep confidential any non-public information received from the other, and will use it only for the purpose of the engagement. This obligation continues after the engagement ends.

We will perform our services with reasonable skill and care. We do not warrant that any system will be free from faults, interruption or security incidents.
Nothing in these terms excludes liability where it cannot lawfully be excluded. Subject to that, our aggregate liability arising out of or in connection with an engagement is limited to the fees paid by you to us under that engagement in the twelve months preceding the event giving rise to the claim, and we are not liable for indirect or consequential loss, loss of profit, or loss of data.
These terms are governed by the laws of the Republic of the Philippines. Any dispute arising from them is subject to the jurisdiction of the courts of Muntinlupa City, Metro Manila.
We may update these terms from time to time. The version in force at the date of your order applies to that order.
